Issueing additional stock for venture capital?

I would like to know how the new stocks can be issued to venture capitalist to raise money. Who can do it?
I am just intended to be the stock holder of the company but I will be raising money through venture capital. So can I issue new stocks? or either director or office has to do it?

I am asking this question because to venture capitalist I will be representing the company and at any stage I can’t tell them that I have no authority for something.
It’s a c corporation. I think there is no president or secretary. There are stock holders, directors and officer(CEO)

    If it is a private corp, the comp issues it. Has to be sign by the president and/or sect.

    You can not offer or issue stock to anybody if you have no authorization to do so - From what I read in your question, you are making a presentation to venture capitalists, asking for financing capital/ Your Business plan must be such that it would attract venture money - They will make you an offer / At least this is what I have at times been involved in / If your plan is good chances are you will get the financing /
